Preparation and Board Approval

Annual financial statements should be prepared from complete accounting records and approved and signed in accordance with the Companies Act requirements applicable to the company.

Audit Requirement

SECP publishes separate treatment for companies required to file audited financial statements and for certain smaller private or single-member companies eligible for different treatment. The current threshold and company status should be checked before assuming an exemption.

AGM and Laying of Accounts

Where an AGM is required, financial statements and the related reports should be coordinated with the statutory meeting timetable and any permitted extension.

Reports Attached to Financial Statements

Depending on the company category, the filing package can include the auditor’s report, directors’ report and other governance or compliance reports.

Annual Return Is Separate

Annual financial statements do not replace the annual return. See Form A and Form 24 Annual Return.

Accounting Support

See Bookkeeping and Accounting, Audit Services Karachi and SECP Financial Compliance Karachi.
